Zensar to acquire digital supply chain firm Keystone Logic

Software services firm Zensar Technologies Ltd has agreed to acquire Keystone Logic Solutions Pvt Ltd, a Bangalore-based digital supply chain company, for an undisclosed amount.

Zensar, part of Mumbai-based RPG Enterprises Ltd, said in a statement the deal also involves its US unit acquiring Keystone’s Atlanta-headquartered subsidiary.

The deal will be financed by internal accruals, and will be positive on earnings per share basis for Zensar, the company said.

Keystone Logic helps global retail and consumer brands with implementation of their order management and warehouse management. It also helps with their integration with the digital commerce and omni-channel fulfillment strategy.

“Keystone’s market leadership in omnichannel and order management and the strong management team leading the business are strategic to Zensar’s plan to increase market share in digital commerce,” said Harsh Goenka, chairman of RPG Enterprises and Zensar.

Sandeep Kishore, CEO and managing director at Zensar, said the acquisition fortifies Zensar’s digital commerce offerings and furthers the company’s ability to work with retailers to improve outcomes for their customers.

Keystone Logic, which has 210 consultants, will continue to be managed by founder and CEO Ravi Joshi.

Joshi said the deal will help Keystone access greater resources and extend its global reach.

Keystone Logic's financial advisors were Sett & Lucas. Zensar was advised by Nishith Desai Associates and KPMG.
